Terms_and_Conditions:

PLEASE READ THIS DOCUMENT CAREFULLY. IT CONTAINS IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS TO LEE SPORTS DISTRIBUTERS LTD (HEREINAFTER CALLED "THE COMPANY").

1.GENERAL TERMS.
This agreement contains the terms and conditions that apply to your purchases from "THE COMPANY" named on the invoice that will be provided to you "THE CUSTOMER" on orders for products and services sold to you. By accepting the delivery of product and/or services,  "THE CUSTOMER" agrees to be bound by and accepts these trading conditions.

THESE TERMS AND CONDITIONS WILL APPLY UNLESS,
"THE CUSTOMER" HAS SIGNED A SEPARATE FORMAL PURCHASE/TRADING AGREEMENT WITH "THE COMPANY", IN WHICH CASE THE SEPARATE AGREEMENT SHALL GOVERN.

These terms and conditions ARE subject to change without prior notice at any time at "THE COMPANY'S" sole discretion.

2. PAYMENT TERMS.
Payment must be received 30 Days from date of invoice from "THE CUSTOMER" by "THE COMPANY" for those with Approved Credit facilities granted by "THE COMPANY". If any sum owed by "THE CUSTOMER" to "THE COMPANY" should become overdue for payment, "THE COMPANY" may withhold goods or services for dispatch to "The CUSTOMER" under any contract without prejudice to "THE COMPANY".

2(A) FOR NEW ACCOUNTS.
Before placing first order "THE CUSTOMER" must first complete and return the "NEW ACCOUNT APPLICATION FORM", which contains necessary information required by "THE COMPANY".  New accounts will remain on pro-forma basis until satisfactory references have been obtained and a payment pattern achieved.
"THE CUSTOMER" who wish to obtain an immediate service should be willing to make payment before product is dispatched.

2(B)CREDIT FACILITIES TO "THE CUSTOMER."
 "THE COMPANY" reserves the absolute right to (without any notice), terminate any agreement to supply credit or to refuse (or limit) the amount of credit to be given out to "THE CUSTOMER" and to withhold supplies indefinitely.

2(C) TITLE OF GOODS.
Ownership of the goods supplied on any invoice from "THE COMPANY" to "THE CUSTOMER" remains with Lee Sports Distributors Ltd ("THE COMPANY") until the goods are paid for in full.

3. PRICING POLICY. The price of the goods or service provided shall be "THE COMPANY'S" price ruling at the date of dispatch. These may change without prior notice being issued to "THE CUSTOMER." 

4.CARRIAGE
Carriage will be added to "THE CUSTOMER'S" invoice where the invoice value is under the sum of  €250.00 ex VAT.  €5.00 is the nominated fee charged by "THE COMPANY". This nominated fee is a contribution by "The CUSTOMER" towards the actual distribution cost incurred by "THE COMPANY". "THE CUSTOMER" will pay this fee unless a separate agreement exists between both parties involved.

5. SHORTAGES AND FAULTY GOODS
All claims for goods left short or damaged must be notified in writing to "THE COMPANY" within 7 working days after receipt of the goods. Any delivery that appears to have been pilfered or damaged must be signed-for as "DAMAGED" upon receipt. All claims must be properly documented and the information must be relayed to "THE COMPANY" without delay. All claims for faulty goods must be accompanied by clearly stated documentation to ensure quick and thorough process, E.g:-
a. Name and address of "THE CUSTOMER".
b. Cause of complaint.
c. Invoice number (where possible).
Once details are processed, "THE COMPANY will provide a credit note or replacement of goods once the "THE COMPANY" considers such claim for CREDIT as genuine.  

6. TRADEMARK
"THE CUSTOMER" shall not remove or modify "THE COMPANY'S" logo or registered trademark as they appear on the goods or place any other names of trademarks on the goods without consulting  "THE COMPANY" and receiving written permission to do so.

7. GOVERNING LAWS
All contracts arising shall be governed and construed according to the LAWS OF THE REPUBLIC OF IRELAND and any dispute that may arise out of or in connection with the same shall be submitted to the exclusive jurisdiction of the IRISH COURTS.
